4. Payment, Pricing & Refund Policy

4.1. Payment Terms

Payments must be made in full and on time based on the agreed terms. Exclusive Tech reserves the right to withhold project deliverables until full payment is received.

4.2. Refund & Cancellation Policy
Exclusive Tech maintains a strict NO REFUND policy except under limited circumstances where:

āœ” Exclusive Tech is unable to complete a project due to internal limitations, in which case a partial refund may be issued.
āœ” The request for refund is made before funds reflect on Exclusive Tech's business account

Refunds WILL NOT be granted under the following conditions:

āŒ Client dissatisfaction with design, content, or subjective preferences.
āŒ Delays due to client-side approvals, verifications, or required third-party verifications, approvals, licensing, and/or integrations.
āŒ Change of mind or shift in business strategy after project initiation.

One free revision is provided per project. Additional revisions incur separate fees.

5. Intellectual Property Rights & Content Ownership

āœ” Exclusive Tech retains full ownership of all proprietary tools, digital assets, and branding materials created until full payment is received.
āœ” Clients may not alter, resell, or redistribute Exclusive Tech’s intellectual property without explicit authorization.
āœ” Exclusive Tech reserves the right to use project work for portfolio, marketing, or demonstration purposes unless explicitly restricted by prior agreement.
āœ” Client, its employees, or developers cannot change or update website and/or application credits on the footer of the website and/or application even after updates, revamps and any form of modifications, except in the case where the website is being completely replaced by an entirely new website/application that does not make use or recycle any of the features and functionalities built or integrated by Exclusive Tech. However, clients can request credits to be removed from website/application footer, although this comes at additional cost

Any unauthorized use, duplication, or infringement of Exclusive Tech’s intellectual property may result in legal action, financial penalties, or account termination.

6. Data Collection, Privacy & Analytics

6.1. Data Collection & Processing
Exclusive Tech collects and processes user data only for operational and analytical purposes, including:

āœ” Monitoring platform performance, user experience, and tool usage trends.
āœ” Enhancing service delivery, content recommendations, and marketing strategies.
āœ” Ensuring compliance with legal, financial, and security requirements.

We do not sell, share, or disclose user data to third parties without consent, except where required by law or usage policy

āœ” Any licensing fees, subscription costs, or policy restrictions related to third-party tools are the responsibility of the client.

If a third-party integration becomes discontinued or incompatible, Exclusive Tech will provide alternative recommendations, but additional fees may apply for reconfiguration or migration.

11. Advertising & Paid Marketing Campaigns

Exclusive Tech provides advertising solutions, including paid search campaigns, social media ads, influencer partnerships, and programmatic marketing.

11.1. Performance Expectations
āœ” While we strive for optimal campaign performance, advertising outcomes depend on:

Market trends, competition, and consumer behavior. Advertising budget, audience targeting, and placement strategy. Third-party platform algorithms (e.g., Facebook Ads, Google Ads).

āœ” Exclusive Tech does not guarantee specific results such as viral reach, or audience engagement, etc, as digital marketing involves dynamic factors beyond our control.

11.2. Ad Approvals & Compliance
āœ” Clients must ensure that all advertising materials comply with legal and industry regulations (e.g., GDPR, FTC, Google Ads policies).
āœ” Exclusive Tech reserves the right to decline or modify advertisements that violate ethical, legal, or industry standards.
āœ” Refunds will not be granted for ad spend under any circumstances

Clients remain responsible for all advertising costs, platform fees, and bid adjustments unless otherwise agreed in writing.

12. Project Revisions, Adjustments & Approvals

Exclusive Tech provides professional design, branding, and development services, which often require revisions before final approval.

12.1. Revision Policy
āœ” Each project includes one free revision round after the initial delivery.
āœ” Additional revisions will be billed separately based on the complexity and time required.

12.2. Approval & Delivery Process
āœ” Clients must review and approve deliverables within a specified timeframe to ensure timely completion.
āœ” If no response is received within 2 working days, the project will be considered approved and finalized.
āœ” Once a project is marked as finalized, any future modifications will be treated as new requests and billed separately.

Exclusive Tech is not responsible for delays caused by client indecision, late approvals, or lack of feedback.

13. SEO Services & Ranking Disclaimers

Exclusive Tech provides Search Engine Optimization (SEO) services, including keyword research, on-page SEO, link building, and content optimization.

13.1. No Guaranteed Rankings
āœ” SEO performance is influenced by constantly changing Search Engine algorithms, competitor strategies, industry trends, and content relevance.
āœ” Exclusive Tech does not guarantee first-page rankings or instant improvements in search results.
āœ” SEO requires long-term strategies, and noticeable results may take several months to materialize.

13.2. Ethical SEO Practices
āœ” Exclusive Tech follows white-hat SEO techniques that comply with Google and industry standards.
āœ” We do not engage in black-hat tactics, such as keyword stuffing, link farming, or spammy backlinks, as these can lead to penalties.

Clients must understand that SEO is an ongoing investment, and Exclusive Tech is not liable for ranking fluctuations due to search engine algorithm updates.

14. Website/Application Development, Licensing & Source Code Ownership

Exclusive Tech offers website and web/mobile app development.

14.1. Code Ownership
āœ” Unless explicitly agreed otherwise, source code ownership is transferred to the client upon full payment.
āœ” Exclusive Tech retains the right to reuse code snippets, frameworks, and libraries used in projects (excluding proprietary or confidential client data).

14.2. Licensing & Open-Source Dependencies
āœ” Some projects may utilize third-party libraries, tools, or open-source components.
āœ” Clients must comply with licensing terms of any software components included in their project.
āœ” Exclusive Tech is not responsible for third-party licensing violations if a client modifies the software independently.

Unauthorized modifications void all warranties and support obligations.

15. Data Protection, GDPR & Legal Compliance

āœ” Exclusive Tech follows South African data protection laws and no law outside South Africa will be used to govern or influence any legal obligations. Should it happen you are outside South Africa, kindly note that your country's laws do not apply to Exclusive Tech, and we highly recommend you stop usage of Exclusive Tech services effective immediately if you do not wish to be governed by South African laws. Strong emphasis on the point that laws from your country will not be considered under any circumstances
āœ” Clients are responsible for ensuring compliance with privacy laws when collecting, storing, or processing user data through our services.
āœ” Exclusive Tech is not liable for legal violations resulting from improper data handling by clients.

For specific compliance requirements, clients should consult a legal expert regarding their jurisdiction.

16. AI Tools, Smart Tools, Automation & Content Generation

16.1. Exclusive Tech provides AI-powered tools along smart tools for businesses, including chatbots, automated marketing tools, and AI-generated content.

āœ” AI-generated outputs are meant to assist decision-making and should not be treated as absolute truth or legal advice.
āœ” Exclusive Tech is not responsible for inaccuracies, bias, or unintended errors in AI-generated outputs.
āœ” Clients must review and validate AI-generated content before publishing.

Exclusive Tech reserves the right to disable AI and smart tools for users who exploit or misuse the technology.

16.2. Are Results from these Tools 100% Accurate?

While we strive to provide accurate results and regularly upgrade Tools to keep them up to date with latest developments, our tools can still make mistakes. We recommend you double check the results and look at all details provided on the results. Violation of these terms may result in account termination and legal action.

19.1. Scope of Training
āœ” Training covers website & app management, marketing tools, platform orientation, and software usage.
āœ” Training, orientation, onboarding & knowledge transfer is exclusively done with one team member delegated by the client, who will then train other team member. Alternatively, if client wish to have Exclusive Tech train 2 or more team members, either once-off or on an on-going basis, arrangements can be made, although they will attract training fees based on number of team members, duration and location (online and/or in-person)

19.2. Documentation & Guides
āœ” Exclusive Tech may provides user manuals for more advanced websites and/or applications in the form of either written documentation, video, audio, or live training sessions based on the complexity of the project.
āœ” Clients must attend scheduled training and retain provided documentation for future reference.

Failure to attend scheduled training does not qualify for a refund or additional free sessions.

20. Content Moderation & Compliance Policies

Exclusive Tech offers content management services, including blog articles, ad creatives, and social media posts.

āœ” We moderate all submitted content to ensure it aligns with legal and ethical standards.
āœ” Content that promotes activism, illegal activities, or misleading information will be rejected.

Clients remain responsible for any legal claims arising from published content.

21. Mobile App Submission & Publishing Guidelines

Exclusive Tech assists with submitting mobile applications to platforms like Google Play Store, Apple App Store and Huawei App Gallery

21.1. App Submission Policies
āœ” Apps must comply with Google & Apple guidelines, including privacy policies and content restrictions.
āœ” Exclusive Tech does not guarantee app approval, as decisions rest with the app store platforms.

21.2. Post-Launch Support
āœ” Clients can choose to be responsible for ongoing updates, maintenance, and compliance with platform policies.
āœ” Alternatively, Exclusive Tech can provide regular bug fixes, and updates under on-going Support & Maintenance agreement which comes at a separate monthly fee. Major revisions will require a separate contract.

22. Email Marketing & Spam Compliance

Exclusive Tech provides email marketing services, including campaign design, automation, and newsletter management.

āœ” Clients must ensure all email lists comply with data privacy laws
āœ” Spam, bulk messaging, and unsolicited email campaigns are strictly prohibited.

Clients violating email marketing regulations assume full legal responsibility for penalties or blacklisting.

23. Accessibility & Responsive Design

Exclusive Tech can follow web accessibility standards (WCAG 2.1, ADA compliance) if client need this on their website and/or web/mobile application

āœ” Clients requesting accessibility features (e.g., screen readers, high contrast modes, keyboard navigation) must specify them during project planning.
āœ” Exclusive Tech is not liable for accessibility issues if clients modify their projects after delivery.

24. Cybersecurity Measures & Data Protection

Exclusive Tech implements cybersecurity best practices to protect client websites, applications, and data.

āœ” We use SSL encryption, firewall protections and multi-factor authentication where requested by client
āœ” Clients must change default passwords, update software, and avoid sharing sensitive credentials.
āœ” Clients can request Exclusive Tech to take care of their cyber security obligations as part of on-going Support and Maintenance agreement

Exclusive Tech is not responsible for security breaches caused by client negligence. However will take necessary steps to recover and/or restore clients data should data breaches happen while Exclusive Tech is responsible for Support and Maintenance

25. Multi-Language & Localization Services

Exclusive Tech can provide translation and localization services for websites, applications, and digital content. This should be communicated before invoice is issued

āœ” Clients must provide correct translations or approve third-party translators before implementation.
āœ” Exclusive Tech is not liable for translation errors unless explicitly contracted for quality assurance.

26. API Development, Integrations & Custom Automation

Exclusive Tech builds custom APIs for seamless software communication.

āœ” API access must be used ethically and securely.
āœ” Exclusive Tech is not responsible for third-party API changes that break integrations.

27. Performance Optimization & Speed Enhancements

āœ” Exclusive Tech is not liable for domain losses due to late renewals or non-payment.
āœ” Exclusive Tech does not have its own server facilities as this is extremely costly, therefore makes use of third parties to provide these servicesĀ

āœ” Exclusive Tech retains the right to showcase branding projects in portfolios unless stated otherwise.
āœ” While our logos are custom designed, we cannot guarantee that a design is completely unique and doesn't exist anywhere else. This is because even the most seemingly unique ideas can turn out to be quite popular

32. Cryptocurrency & Blockchain Project Policies

Exclusive Tech currently does not supports blockchain-based projects, including NFTs, smart contracts, and tokenization.

33. White-Labeling & Reseller Agreements

Exclusive Tech offers white-label (private-label) services for agencies reselling our solutions.

āœ” Clients reselling our services must follow all guidelines shown on our Earn with Us page for Businesses
āœ” Resellers assume responsibility for client interactions and project delivery.

34. Legal Disclosures & Compliance Requirements

Exclusive Tech may disclose information if required by law.

āœ” We comply with subpoenas, court orders, and regulatory audits.
āœ” Clients must ensure their projects do not violate legal frameworks.

35. Termination of Services & Contract Expiry

āœ” Clients may terminate services with a 30-day written notice.
āœ” Exclusive Tech reserves the right to suspend services for non-payment, abuse, or policy violations.

Terminated contracts do not qualify for refunds, and pending payments remain due.

36. Amendments, Policy Updates & Notifications

Continued use of services constitutes acceptance of updated terms.

37. Non-Payment, Late Payments & Service Disruptions

Exclusive Tech reserves the right to pause, disable, or terminate services in cases of non-payment or incomplete payments.

37.1. Payment Deadlines & Late Fees
āœ” All invoices must be paid in full before project completion unless otherwise agreed.
āœ” Financial challenges that may lead to delayed payments should be communicated at least 3 working days before payment is due, and arrangements will be made where possible
āœ” Late payments exceeding 3 working days may result in account suspension or project cancellation.

37.2. Complete Service Disruptions for Non-Payment
āœ” Failure to settle outstanding balances within 5 working days may lead to:
āœ” Website suspension (if hosted by Exclusive Tech).
āœ” Project access revocation.
āœ” Code and content removal until payment is received.
āœ” Exclusive Tech is not liable for business disruptions caused by non-payment.

38. Portfolio Display & Public Showcase Rights

Exclusive Tech reserves the right to showcase completed projects in its portfolio, case studies, and marketing materials.

āœ” Projects may be displayed on our website, social media, and presentations to highlight our work.
āœ” If a client wishes to exclude their project from our portfolio, a written request must be submitted before project delivery (an opt-out fee may apply).

Clients may not claim Exclusive Tech's work as their own without proper attribution.

39. Footer Credits & Attribution Rights

Exclusive Tech reserves the right to add footer credits on websites and applications it develops, acknowledging Exclusive Tech as the creator.

āœ” These credits must remain visible unless:
The entire website or application is fully rebuilt by another provider.
A credit removal request is submitted and approved (removal fees may apply).
āœ” Edits, revamps, or modifications do not qualify for credit removal.

Exclusive Tech reserve the right to disable website and/or web/mobile application for unauthorized removal of footer credits, and this may result in legal action.

40. Ownership & Transfer of Completed Projects

40.1. Project Ownership Conditions
āœ” Ownership of websites, applications, branding assets, and marketing materials is transferred to the client only after full payment is received.
āœ” Until full payment is made, Exclusive Tech retains all rights to project files, databases, and source code.

40.2. Transfer Fees & Account Migrations
āœ” If a client wants their project migrated to a different hosting provider or developer, Exclusive Tech may charge a migration fee.
āœ” Exclusive Tech does not assist in migration requests related to non-payment disputes.

41. Third-Party Integrations & External Services

Exclusive Tech may integrate third-party tools, APIs, or software into a client's project.

āœ” Exclusive Tech is not responsible for issues caused by third-party software changes or discontinuations. Service outages of third-party platforms (e.g., hosting providers, payment gateways).
āœ” Clients must comply with third-party service agreements, as their policies may differ from ours.

42. Domain Name, Hosting & Server Responsibilities

42.1. Domain Registration & Renewals
āœ” Clients are responsible for renewing their domain name on time.
āœ” Where Exclusive Tech manages domain registration, renewal reminders will be sent via email before expiration.

42.2. Hosting & Server Management
āœ” Clients who purchase hosting services from Exclusive Tech must ensure payments are up to date to avoid service interruptions.
āœ” Exclusive Tech is not responsible for hosting downtimes caused by server failures outside our control and hosting provider policy changes.

43. Support & Maintenance Contracts

Exclusive Tech offers support and maintenance packages for websites, applications, and recurring services

āœ” Standard support includes bug fixes, software updates, and security patches.
āœ” Major modifications, new feature additions, or design changes require a separate agreement.
āœ” Clients without an active support and maintenance agreement will be billed for each enquiry

44. Copyright & Intellectual Property Violations

Clients must not use our services to create or distribute copyrighted, pirated, or trademark-infringing content.

āœ” Exclusive Tech is not responsible for legal claims arising from unauthorized use of copyrighted materials.
āœ” If a client submits copyrighted content without permission, Exclusive Tech reserves the right to terminate the project without a refund.

45. Service Scalability & Business Growth Support

Exclusive Tech offers scalable solutions to support business expansion.

āœ” Clients can upgrade their service plans for additional features, server resources, or advanced functionalities.
āœ” Requests for increased scalability must be submitted in advance to allow proper adjustments.

46. POPIA & Other Data Protection Compliance

Exclusive Tech only follows South African data privacy regulations, including:
āœ” Protection of Personal Information Act (POPIA) for South African users.
āœ” Other respective data protection laws as applicable.
āœ” Client outside South Africa who are not comfortable with their country's laws not being followed by Exclusive Tech are strongly advised to stop using all Exclusive Tech's services effective immediately. This is because only South African laws will be followed, and no laws or regulations from any other country will be considered under any circumstances

Clients are responsible for ensuring compliance if collecting or processing personal data through their platforms.

47. Affiliate & Referral Programs

Exclusive Tech may offer affiliate or referral programs, allowing individuals or businesses to earn commissions for referring new clients.

āœ” Affiliates must comply with ethical marketing practices (no misleading claims or spam).
āœ” Commissions are only paid for verified successful transactions.

Exclusive Tech reserves the right to terminate an affiliate account if fraudulent activity is detected.

48. Client Responsibilities & Collaboration Expectations

For smooth project execution, clients must:
āœ” Provide accurate and complete project details.

Failure to provide required materials may result in project delays, for which Exclusive Tech is not responsible.

49. Force Majeure & Unforeseen Circumstances

Exclusive Tech is not liable for project delays or cancellations due to events beyond our control, including:
āœ” Natural disasters, wars, pandemics, government regulations.
āœ” Internet or hosting failures caused by third-party providers.
āœ” Power outages, cyberattacks, or system malfunctions.

If a force majeure event affects service delivery, Exclusive Tech will communicate alternative solutions to clients, and this may attract support and maintenance fee

50. Final Agreement & Legal Acknowledgment

By engaging with Exclusive Tech, clients confirm that they:
āœ” Have read, understood, and agreed to all terms outlined in this document.
āœ” Accept that Exclusive Tech's policies apply across all services.
āœ” Acknowledge that disputes will be handled based on the agreed jurisdiction.

Exclusive Tech reserves the right to update this agreement without prior notice, and client understands they are advised to check the Privacy Policy & Terms of Service page before making use of any of Exclusive Tech's services
